Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Ukweli Code website or purchasing any software products or services operated by Ukweli Code Solutions ("us", "we", or "our"). These Terms apply to all visitors, users, affiliates, resellers, and others who access or use the Service.

1. Acceptance of Terms

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service. These Terms constitute a legally binding agreement in accordance with international digital commerce laws.

2. Software Licenses and Intellectual Property

The Service and its original content, features, functionality, and specific software products sold on this platform are and will remain the exclusive property of Ukweli Code Solutions and its licensors. Upon purchasing a product, you are granted a limited, non-exclusive, non-transferable license to use the software according to the specific terms outlined in the product's documentation. You may not:

• Modify, copy, or reverse engineer the software, unless explicitly permitted (e.g., open-source components).
• Resell or redistribute the software without being an officially approved Reseller in our Partner Program.
• Remove any proprietary notices or branding from the software without prior authorization.

3. Affiliate and Reseller Programs

Users may apply to become Affiliates or Resellers. By participating in these programs, you agree to the following:

• Commissions: Affiliate commissions are only approved upon successful payment verification of the referred client. We reserve the right to reverse commissions for cancelled or fraudulent orders.
• Pricing: Resellers are granted wholesale discounts and are responsible for their own client billing, unless otherwise facilitated by our platform's quoting engine.
• Compliance: Partners must not engage in spam, fraudulent marketing, or misrepresentation of Ukweli Code products. Violation will result in immediate termination of the partner account and forfeiture of pending payouts.

4. User Accounts and Security

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Our systems employ strict Anti-Gibberish and mathematical entropy firewalls. Submitting false data, utilizing bots, or attempting to bypass security measures constitutes a breach of the Terms, which may result in immediate termination of your account.

5. Limitation of Liability

In no event shall Ukweli Code Solutions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; and (iii) unauthorized access, use or alteration of your transmissions or content.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
